Terms of Service
INTRODUCTION
You (“Registrant”) submit this registration agreement (“Registration Agreement”) to Proven Residual Income, a Philippine based online business corporation, for the purpose of applying for service(s) provided by website. If website, in its sole discretion, accepts Registrant’s application for website’s service(s), Registrant agrees to be bound by the terms of this Registration Agreement and website’s terms of use and other published guidelines that may be updated from time to time, all of which are incorporated herein and made a part of this Registration Agreement by reference. The acceptance of this Registration Agreement and the performance of website’s service(s) will occur at Proven Residual Income office in Quezon City, Philippines.
FEES, PAYMENT and SERVICE PERIOD
Registrant agrees to pay Proven Residual Income website the applicable fees it requires for registration. All fees are non-refundable. Registrant hereby expressly authorizes Registry to charge Registrant's credit card or debit card (PayPal) upon sign up an amount of six USD ($6.00) one time payment. The Registrant also agrees to pay additional Paypal fee of 3.4% plus $0.30 of total cost upon registration.
MODIFICATIONS TO REGISTRATION AGREEMENT
Registrant agrees that, during the term of this Registration Agreement, Proven Residual Income website may, in its sole discretion, revise the terms and conditions of this Registration Agreement at any time. Website agrees to post any such revised Registration Agreement on Proven Residual Income’s Web site, and such revised Registration Agreement will be binding and effective immediately.
LIMITATION OF LIABILITY
The Registrant agrees that Proven Residual Income shall have no liability to Registrant for any and all loss Registrant may incur in any services Proven Residual Income is offering. Website and its contractors and affiliates shall not be liable for any direct, indirect, incidental, special or consequential damages, or for any loss of revenue, profits or data, arising in connection with this Registration Agreement.
NO GUARANTY
Registrant agrees that, upon registration to the website, such registration does not conclude that the Registrant will earn significant and substantial income from website's services.
REPRESENTATIONS AND WARRANTIES
Registrant represents and warrants by submitting this Registration Agreement that: (1) to the best of Registrant’s knowledge and belief, the information submitted to the website by Registrant is true and correct, and that any future changes to this information will be provided to website in a timely manner. (2) Registrant has all requisite power and authority to execute this Registration Agreement and to perform Registrant’s obligations hereunder; (3) Registrant is of legal age to enter into this Registration Agreement; and (4) Registrant agrees that use of WebSite’s service(s) is solely at Registrant’s own risk. Registrant further agrees that all of Proven Residual Income website’s service(s) are provided on an “as is” and “as available” basis. Any breach of any of these representations and warranties by Registrant will constitute a material breach of this Registration Agreement.
ENTIRETY
Registrant agrees that the terms of this Registration Agreement, the Privacy Policy, the Terms of Use and any other rules and policies published by Proven Residual Income website are the complete and exclusive agreement between Registrant and website regarding the registration of Registrant and supersede all prior representations, agreements and understandings, whether established by custom, practice, policy or precedent.
GOVERNING LAW
Registrant agrees that this Registration Agreement shall be governed in all respects by and construed in accordance with the governing laws of the Philippines, without reference to Philippine's conflict of law principles. By submitting this Registration Agreement, Registrant hereby consents to the exclusive jurisdiction and venue of the city courts located in the Quezon City, Philippines.
ACCEPTANCE OF TERMS
Welcome to Proven Residual Income. Proven Residual Income provides its service to you, subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. When using particular website services, you and Proven Residual Income shall be subject to any posted guidelines or rules applicable to such services, which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into the TOS.
DESCRIPTION OF SERVICE
Proven Residual Income currently provides users with a replicated website that has an exact layout of our website. This mirror site is given to all accepted users to promote their own online business website. You understand and agree that the Service is provided "AS-IS" and that Proven Residual Income assumes no responsibility for any violation you may incur for promoting the site such as SPAMMING and all other illegal activities. In order to use our Service, you must register and pay a one time fee for a lifetime membership.
MEMBER CONDUCT
The Service is provided to individuals only. Any illegal or unauthorized use of the Service is expressly prohibited.
You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your account or password, including the content of your transmissions through the Service. .
MODIFICATIONS TO SERVICE
Proven Residual Income reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Proven Residual Income shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
TERMINATION
You agree that Proven Residual Income, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if Proven Residual Income believes that you have violated or acted inconsistently with the letter or spirit of the TOS.
GENERAL INFORMATION
The TOS constitute the entire agreement between you and Proven Residual Income and govern your use of the Service, superceding any prior agreements between you and WebSite.ws. The TOS and the relationship between you and Proven Residual Income shall be governed by the laws of the Philippines without regard to its conflict of law provisions. You and Proven Residual Income agree to submit to the personal and exclusive jurisdiction of the courts located within the county of the Philippines. The failure of Proven Residual Income to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred.
